Terms of Service

1. Agreement to Terms

By accessing or using Foundation ("Service"), you agree to these Terms of Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Foundation is software for collections, invoicing, payment follow-up, AI-assisted communications, reporting, and related business workflows. Features may include integrations with third-party providers such as Stripe, Google, Twilio, OpenAI, and other services that you enable.

Important: Foundation is a software product only. Foundation is not a law firm, debt collection agency, bank, payment institution, or tax adviser, and does not provide legal, tax, regulatory, or financial advice.

3. Eligibility, Accounts, and Security

  • You must provide accurate registration information and keep your credentials confidential
  • You are responsible for activity under your account, including use of connected integrations and public payment or portal links generated from your account
  • You must promptly notify Foundation if you believe your account or an integration has been compromised

4. Customer Responsibilities and Lawful Use

  • You must have a lawful basis to upload, use, and communicate about all personal data and business data submitted to the Service
  • You are responsible for the accuracy of debtor records, invoice details, payment instructions, templates, and contact rules configured in the Service
  • You must comply with all laws applicable to your use of the Service, including debt collection, privacy, consumer-protection, marketing, and communications laws
  • You must not use the Service for harassment, deception, unlawful surveillance, spam, threats, or any unlawful or abusive purpose
  • You must honor opt-out, suppression, unsubscribe, and similar requests where required by law

5. AI Features, Gmail, and Automation

The Service may generate content, recommendations, classifications, summaries, payment plans, and other outputs using AI models and automation rules. By using those features, you acknowledge and agree that:

  • AI-generated or automated content may be incorrect, incomplete, or unsuitable for your use case and should be reviewed where appropriate
  • You remain solely responsible for messages, payment requests, disputes, and other actions sent in your name or on behalf of your business
  • If you connect Gmail, Foundation may read matching debtor-email threads, send messages from your connected mailbox, and store operational data needed to support that workflow
  • Public invoice-payment links and debtor portal links are intended only for the recipient you share them with, and you are responsible for distributing them appropriately

6. Fees, Trials, and Billing

Foundation currently requires completion of subscription billing setup before access is granted. Foundation may offer promotional pricing or discounts at its discretion. Subscription charges are processed through Stripe or another payment provider selected by Foundation. Unless required by law or expressly agreed otherwise, fees are non-refundable and cancellations take effect at the end of the current billing period.

7. Data Processing and Privacy

Foundation processes personal data as described in our Privacy Policy. As between you and Foundation, you are generally the controller of debtor and business data you submit, and Foundation acts as your processor or service provider for that data. You are responsible for providing any required notices, obtaining any required consents, and entering any further data-processing terms you need for your own compliance program.

8. Third-Party Services

The Service depends on third-party providers and integrations. Foundation is not responsible for outages, policy changes, data handling, pricing, or failures caused by third-party services, including your chosen email, payment, telephony, hosting, storage, or AI providers. Your use of those third-party services may also be subject to separate terms and policies.

9. Suspension and Termination

Foundation may suspend or terminate access if you breach these terms, use the Service unlawfully, create security risk, fail to pay fees, or expose Foundation or others to legal or operational harm. You may stop using the Service at any time. On termination, access to the Service may end immediately, but some data may remain in backups, billing systems, logs, or records retained for legal or security purposes.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Foundation disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy of AI-generated or automated outputs.

11. Limitation of Liability

To the maximum extent permitted by law, Foundation will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, debtor disputes, compliance penalties, or losses arising from your configuration or use of automated communications.

To the maximum extent permitted by law, Foundation's total liability for claims arising out of or relating to the Service will not exceed the amounts you paid to Foundation for the Service during the 12 months before the event giving rise to the claim.

12. Changes to the Service or Terms

Foundation may modify the Service, features, pricing, integrations, or these terms from time to time. Updated terms become effective when posted unless a later effective date is stated.

13. Governing Law

These terms are governed by the laws of Ireland. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
